Affiliate Terms of Service

The RetroCat Ltd. (“RetroCat”, or “RetroCat Ltd”, or “RetroCat”, or “retro.cat”, or “Company” or “we”) affiliate programme (the “Affiliate Programme”) is designed to help you generate income in exchange for referring new web hosting clients to RetroCat. These Affiliate Program Terms (the “Affiliate Agreement”) are a contract between RetroCat and you (the “Affiliate” or “you”), and it governs the terms and conditions of your participation in the Affiliate Program.

BY REGISTERING AS AN AFFILIATE YOU ARE AGREEING TO THE TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, YOU ARE NOT PERMITTED TO PARTICIPATE IN THE AFFILIATE PROGRAMME UNDER ANY CIRCUMSTANCES.

  • Payment Terms:
    • As a RetroCat affiliate, you may accrue a one-time or recurring referral fee for each purchase of a hosting account that you refer to RetroCat that meets the definition of a “Qualified Purchase” and the requirements set forth herein. A “Qualified Purchase” is the purchase of RetroCat’s hosting services by a new and unique customer who:
      • clicks on an affiliate tracking link that is unique to your Affiliate account
      • completes the signup process within 48 hours of clicking on the affiliate tracking link
      • maintains an active account with RetroCat for a minimum of ninety (90) days
      • does not have an overdue invoice in the minimum duration of ninety (90) days.
      • has not transferred their hosting account from a RetroCat website, RetroCat partner, or related company.
    • The payment scheme associated with a web hosting product or service may result in a one time payment, or a recurring payment that is paid as long as the client maintains their account and continually renews their service.
    • Without any prior notice to you, RetroCat reserves the right to change, remove, or alter the Affiliate payment scheme associated with a web hosting product or service, for example, changing a one time affiliate payment to a recurring payment amount, or vice versa.
    • Affiliate accounts must be active at the time of the referral.
    • As our corporate and operational expenses may vary over time, for recurring Affiliate payment products, RetroCat reserves the right to increase or decrease the recurring amounts paid to you, without any additional compensation or notice to you.
    • No referral fee will be accrued for sales that occurred before your participation in the Affiliate Programme.
    • In order for affiliate referrals to accrue and be eligible for your first referral fee payment, you must
      • reach a minimum threshold of £100 GBP (the “Minimum Threshold”) in referral fees within twelve (12) months of the first Qualified Purchase you refer to RetroCat
      • provide RetroCat with all relevant tax and address documentation, as further discussed herein.
    • You are solely responsible for keeping all information up to date including postal and email addresses, name, payment information, tax information and any other personal information that will impact the ability to issue a valid payment. Each Affiliate is required to submit an accurate and up to date tax information in regards to HMRC accounting and tax compliance. If we do not receive the necessary tax, or payment information from you within ninety (90) days of a Qualified Purchase that would otherwise trigger a referral fee, that referral fee will not be accrued and no resulting referral fee will be owed to you in respect to that Qualified Purchase.
    • We require your information to be on file and up to date in order for your referral fees to accrue and become payable.
    • Each Affiliate is required to submit proof of their government issued identification (photo ID), to be confirmed or verified at our sole discretion before any payment is released. Photographic ID must match up to the details associated with your Affiliate account.
    • Affiliates are solely responsible for ensuring that all payee information is accurate and up to date in our affiliate system. RetroCat is not responsible for any lost, stolen, or erroneously sent payments. We will not reimburse you for payments you may have sent to an incorrect email, address, entity, etc.
    • Missing or untracked affiliate referrals must be reported during the then current referral period and will be credited to your account at our sole discretion, provided that such credit has accrued pursuant to the terms contained herein. Referrals that are not reported during the then current referral period will not be credited to your account.
    • You agree to not hold us responsible or liable for affiliate referrals that are untracked or missing for any reason, including but not limited to end user privacy anti-tracking software, privacy toolbars, software errors, misconfigurations.
    • The affiliate referral fees are determined approximately 75 days after the end of the month in which the Qualified Purchase is recorded.
    • Once you reach the Minimum Threshold, you must request the payment to be released to you via contacting us via the Ticket System.
    • Payments are sent using the PayPal system. You are required to supply a PayPal address to receive payments. If you would prefer to receive payments by cheque, you must notify RetroCat and payments will be sent to the address you provide. Please note that payments by cheque take up to an additional thirty (30) days to arrive. For larger affiliates with balances of over GBP £20,000 per month, RetroCat offers a bank transfer option. To update your payment information, please contact the affiliate department.
    • In the event that RetroCat re-issues any payment, a GBP £50 charge will apply and be deducted from the Affiliate’s earnings for that payment.
    • Affiliates are responsible for making sure they are able to accept payments. Please ensure that your bank or PayPal account can accept payments from UK-based companies.
    • Affiliates are responsible for any and all fees, taxes, exchange rates, payment processing fees, surcharges and other expenses incurred in order to receive their referral fees. Please check with your local banking institution or PayPal to find out if any of these apply for your account.
    • Because of the high frequency of credit card fraud and cancellation rates, RetroCat reserves the right to hold referral fees for up to two (2) additional months for verification. At RetroCat ‘s sole discretion, we reserve the right to cancel referral fees in the event that we are unable to collect funds, the order is fraudulent, the customer cancels within the first ninety (90) days, or if we learn that the referral fee was earned improperly for any other reason.
  • Reversals, Cancellations, Suspensions and Terminations:
    • Where a referred customer has resulted in you receiving a recurring referral fee, you will lose eligibility for future payments from that referred customer if:
      • that customer alters their hosting package (upgrade or downgrade)
      • that customer’s account is suspended for any reason (including for failure to pay invoices), you will lose eligibility for any future recurring referral fees from that customer. This policy also applies if that customers account is unsuspended for any reason (for example, you will not continue to be paid if that customer hasn’t paid an invoice, then later comes back to the service and starts paying again).
    • Referred customers that issue a chargeback or are found to be fraudulent (e.g. false information, fake/stolen credit cards, selling counterfeit goods etc.), as determined in RetroCat’s sole discretion, will be reversed regardless of the amount of time that has passed since the signup occurred.
    • Where a negative credit has been incurred due to chargeback or fraud, due to the Affiliate being paid before the charges were reversed, the Affiliate is liable to repay any such amounts to RetroCat within fourteen (14) days in order to restore the Affiliate account to a neutral or positive balance.
  • Affiliate Restrictions and Rules:
    • Affiliates MAY NOT offer any rewards, payment rewards, cash back or other incentives to drive traffic/sales via their affiliate tracking links.
    • Affiliates MAY NOT use traffic that is generated by any advertising networks, including pay to click, pay per view, ad exchanges, image clicking networks, click exchanges, click rewards, pop-up/under advertising, or similar methods.
    • Affiliates MAY NOT utilise e-mail spam to generate traffic to their affiliate tracking links.
    • Affiliates MAY NOT use “cookie tagging” or “cookie stuffing” techniques that install the affiliate tracking cookie in a visitors browser without that user clicking on the referral link (for example a 1×1 pixel iframe).
    • Affiliates MAY NOT use 3rd party software to manually install affiliate tracking cookies into a users computer without the user clicking on the referral link (for example using a bundled software autoinstaller).
    • Affiliates MAY NOT use any RetroCat branding, assets, or any trademarks, or any misspelled keyword based on RetroCat in their domain names.
    • Affiliates MAY NOT use redirected pages and links to send a user to our site. For example, you may not have a PPC link on a search engine that redirects the user to our site.
    • Affiliates MAY NOT use Domain forwarding to redirect traffic to RetroCat servers. You may not purchase a domain and set it to forward directly to our site using your affiliate link.
    • Affiliates MAY NOT copy RetroCat’s website or any portions thereof, including, without limitation, any of RetroCat’s trademarks or other intellectual property, and display them on their own site or subdomain or use them in any way without RetroCat’s prior express written permission.
    • Affiliates MAY NOT engage in the advertisement of web pages that use marketing practices that attract fraudulent or short-term customers (customers with low retention and renewal rates). This shall be determined at our sole discretion.
    • Affiliates ARE NOT intended to tamper with tracking links. Any modification to the links is the sole responsibility of the Affiliate. Referral fees may not be paid for tracking errors caused by alterations, concealment, redirection or tampering with affiliate links, as determined in RetroCat’s sole discretion.
    • Affiliates MUST include notices to users about the use of tracking cookies for the purposes earning affiliate revenue from their purchases when potentially providing the Affiliate tracking cookie to people inside the European Union or any other area, region, or locality where the use of Cookies may require a legal notice of consent, informed consent, or implied consent.
    • Affiliates MUST ensure their tracking code is working properly before sending traffic to RetroCat’s servers.
    • Affiliates MUST comply with any advertising regulations to any country, area, region or locality where they may be providing users with their unique Affiliate tracking link.
  • Ethical Disclosure Policy:
    • All RetroCat Affiliates MUST disclose they may be receiving comission from the links provided on their website, on any page or communication where a RetroCat affiliate tracking link is used. Furthermore, this disclosure must be clearly visible on the page(s) or any communication where the affiliate tracking link is used. Where, in our sole discretion this policy or any other applicable regulations or guidelines have not been adhered to, we reserve the right to withold referral fees and/or suspend or terminate the affiliate relationship with you.
  • Deactivation:
    • Affiliate accounts may be deactivated at any time without warning or notice at our sole discretion.
    • We reserve the right to discontinue the RetroCat affiliate programme at any time without prior notice to you. Where this occurs, any future payments you may have been eligible for will be withheld.
    • Any affiliate who violates RetroCat’s Terms of Service, including without limitation, these Affiliate Programme Terms, or any applicable law is subject to having their affiliate account deactivated immediately, and any and all accrued, but not yet received, referral fees will be forfeited.
    • In our sole discretion, any false or misleading advertising or suspected fraudulent activity associated with your affiliate account will result in immediate deactivation.
    • Affiliate accounts generating a large number of fraudulent accounts, as determined in our sole discretion, will be deactivated.
    • Affiliates may not resell hosting. All referred customers must provide their own payment method and contact information to be a Qualified Purchase. If RetroCat determines in its sole discretion that an Affiliate is reselling hosting by signing up customers on their behalf, the affiliate account will be immediately deactivated.
    • If you would like to discontinue your participation in the Affiliate Programme at any time, you may stop using your unique affiliate links and stop promoting them. For accounting purposes, our systems will retain your account and personal information for a minimum period of six (6) years.
  • Changes to this agreement:
    • RetroCat may change any of the terms and conditions in this Affiliate Agreement, in whole or in part, at any time at RetroCat’s sole discretion. Unless otherwise provided, such modifications will take effect when posted on RetroCat’s website and apply to all referral fees that have not yet been paid to you.
    • If we make any significant changes to this Affiliate Agreement, we will post a notice on this page for at least thirty (30) days after the changes are posted and will indicate at the bottom of this Affiliate Agreement the date of the last revision. By continuing to use the Affiliate programme, you agree to routinely check this agreement for updates.
    • Unless otherwise provided, your continued participation in the Affiliate Programme following our posting of any modification on our website will constitute your acceptance of all changes. If you do not agree to any such changes, your sole and exclusive remedy is to deactivate your account as described above.
